Board of Directors
The Board of Directors is composed of 14
members. Of these, 12 members are appointed
by the shareholder groups behind the pension
scheme, and two are appointed by the merged
pension funds PNN PENSION and PHI pension.
The Chairman of the Board is Mads Andersen,
who is also chairman of the manufacturing
industries group at 3F and vice president of the
Central Organisation of Industrial Employees
The Deputy Chairman is Kim Graugaard, who is
the vice CEO at the Confederation of Danish
Industry. The Board of Directors has set up an
audit committee, an investment committee, a
remuneration committee and a committee for
responsible investment. The management
responsibilities of the Board of Directors,
including representation on these committees
are described on page 52.

The process
The assessment was conducted in the period
May to June 2022 through written mapping of
the Board of Directors’ desired and actual
competencies, and collection of written input
about the content and conduct of meetings, the
extent of materials and about board committees.

Summary of the assessment
The Board of Directors concluded that:

the competences of the Board of Directors as
a whole align with the competences
demanded by the Board of Directors.
Therefore, there is no need to supplement or
change the Board of Directors. It was
ascertained that during a future rotation it will
be important to focus on the underrepresented gender and, where appropriate,
legal competences.
After this, there were interviews for about an
hour with the individual members of the Board
of Directors and the external consultant to
identify how cooperation is experienced, and
what can be improved. On the basis of the
remarks in the written material and from the oral
interviews, the Board of Directors held an
assessment meeting on 1 July 2022.
